TRADE TERMS
Meltoys | YellowPack V.O.F.
Version: 22 October 2026
1. Who we are and scope
Meltoys is operated by YellowPack, a Dutch general partnership (V.O.F.), registered with the Netherlands Chamber of Commerce under number 90467841. Our VAT number is NL865326514B01. Our address is Techniekstraat 28, 4571 BJ Terneuzen, The Netherlands. Contact: hello@meltoys.com.
These terms apply to our business-to-business quotations and sales of toys and related goods. We supply businesses acting in their commercial or professional capacity, not consumers. The person acting for the customer must be authorised to represent that business.
We provide these terms before a binding agreement is concluded. A specific written agreement takes precedence over these terms where they conflict. We expressly reject the customer's purchasing conditions unless we accept them in writing. A later version of these terms does not change an existing agreement without agreement between the parties.
2. Trade accounts
Registration is an application for a trade account. We review each application before granting access to prices, stock information and ordering. Approval does not oblige either party to place or accept orders, and does not create an exclusive supply relationship.
Customers must provide accurate company, VAT, registration, billing and delivery details, keep them up to date and protect their login credentials. We may request supporting business information or suspend access where information is incomplete, inaccurate or the account is misused. Suspension does not remove rights and obligations under an existing agreement.
3. Catalogue, prices and packaging
Catalogue prices are in euros per unit and exclude VAT, freight and other charges unless expressly stated. Product information and availability are subject to verification when we prepare the final proforma. Obvious errors are not binding and will be corrected before acceptance.
The stated packaging quantity determines the minimum quantity and ordering increment for each product. For example, a pack of 12 must be ordered in multiples of 12 units. The minimum product order value is displayed when submitting a request; freight and VAT do not count towards that minimum unless stated otherwise.
Images may illustrate the product or assortment. Material differences in model, specification or assortment require the customer's agreement before acceptance; we do not substitute materially different goods without agreement.
4. Non-binding requests and formation of the agreement
Submitting a basket through the website is a non-binding request. It is not a purchase commitment, payment instruction or final acceptance by Meltoys. The customer may withdraw the request without charge before accepting the final proforma.
We review availability, packaging quantities, pallet count, freight, delivery arrangements and VAT, and send a final proforma by email. A binding sales agreement is formed when the customer explicitly confirms acceptance of that final proforma, its freight costs or agreed collection arrangements, and the applicable saved trade terms through the personal acceptance page linked in our email. Written acceptance by email may be agreed separately, but does not by itself update the website status. Opening the personal link or downloading a document is not acceptance. Acceptance must be received within the validity period shown on the proforma. Acceptance with changes is a new proposal requiring our written agreement.
We provide the applicable terms with, or before acceptance of, the final proforma in a form that can be saved. The final accepted proforma records the agreed goods, quantities, prices and delivery arrangements. Preparing or emailing a proforma does not itself constitute the customer's acceptance.
5. Payment and stock reservation
Full payment in advance is due within seven calendar days after explicit acceptance of the final proforma, unless a different due date is agreed in writing. Use the payment reference and bank details shown on the proforma. Payment is complete when the full amount has been received in cleared funds; the customer bears its own transfer charges.
After checking availability at acceptance, we reserve the agreed goods for the seven-day payment period following that acceptance. The confirmation states the payment deadline. The initial emailed offer is valid for seven calendar days unless a different validity period is stated. No stock reservation arises merely from registration, adding items to a basket or submitting an initial request. An extension of a reservation requires our written agreement.
If payment is not received by the due date, we release the reservation and notify the customer. Releasing stock does not by itself cancel an accepted agreement. We may suspend fulfilment and, where legally permitted, terminate an unpaid agreement after any notice or additional payment period required by law. Statutory commercial interest and reasonable recoverable collection costs may apply to overdue amounts as permitted by law.
Do not make a late payment without asking us to reconfirm availability and delivery arrangements. We will not replace unavailable goods without agreement. Where we cannot supply goods for which payment has been received, the corresponding payment will be refunded unless another solution is agreed.
6. Pallets, freight, collection and dispatch
Pallet count and freight are calculated for each request and stated on the final proforma. Freight is not automatically finalised when the customer submits a request. Special delivery requirements, restricted access, unloading facilities and delivery appointments must be disclosed before the quote is accepted. Extra services or costs require agreement, except reasonable costs caused by inaccurate instructions or failed delivery attributable to the customer.
Customers may arrange their own carrier or collect by prior appointment. The collection date, loading responsibilities, suitable vehicle and any associated charges must be agreed in writing. Collection is released only after payment approval. The customer is responsible for its own carrier's charges and instructions.
After payment has been received and approved, we normally pick, load and dispatch within one to three working days from our Netherlands warehouse. This is an estimated dispatch period, not an arrival guarantee. Carrier transit time is additional. If a material delay arises, we inform the customer and discuss a revised arrangement. Statutory remedies for non-performance remain available.
Our standard delivery area is the European Union. Non-EU destinations and special customs or VAT territories require prior written agreement. Taxes, import formalities and any special requirements are allocated in the agreed quotation; they are not assumed to be included merely because a destination is in Europe.
7. Risk and ownership
Where we arrange delivery, risk of accidental loss or damage passes when the goods are delivered at the agreed delivery address, unless a different delivery term is expressly agreed in writing. Where the customer collects or appoints its own carrier, risk passes on handover to the customer or that carrier at our warehouse, subject to any loading responsibilities agreed in writing. Each party remains responsible for damage it causes through its own breach or negligence. Mandatory transport rules remain applicable.
Ownership of the goods passes only after full payment of the amounts due for those goods. A transfer of risk does not remove our responsibility for goods that did not conform to the agreement when delivered.
8. Inspection, shortages and transport damage
Inspect the pallet count, packaging and reasonably visible condition of the shipment immediately upon arrival, while the carrier is still present and before signing an unqualified receipt. Record visible damage, broken seals, missing pallets or other visible shortages specifically on the delivery note or CMR consignment note. Notify the carrier immediately, take clear photographs of the goods, packaging, labels and delivery document, and contact hello@meltoys.com without delay. Keep the goods and packaging available for inspection.
An unqualified delivery receipt is evidence of receipt in the stated apparent condition. It can make a later claim for visible transport damage or shortages harder to prove. It does not automatically extinguish a claim for concealed damage, a defect that could not reasonably be detected at delivery, or rights that cannot legally be excluded.
Report concealed loss or damage to us in writing immediately after discovery and make the required written reservation to the carrier within the applicable transport deadline. Where the CMR Convention applies, non-apparent loss or damage must generally be notified to the carrier in writing within seven days of delivery, excluding Sundays and public holidays; the delivery day is not counted. A transport-delay claim may require a written reservation within 21 days. These transport notification periods do not create a contractual product warranty or replace other applicable legal requirements.
For other product defects or discrepancies, notify us promptly after discovery, stating the order number, affected SKU, quantity, photographs and a clear description. A delay in reporting may affect a claim where evidence or our ability to investigate is prejudiced, subject to applicable law. Stop selling or using goods where a safety issue is suspected and contact us immediately. We will assess the complaint and agree an appropriate remedy where the claim is justified.
9. Returns and cancellation
Business returns require our prior written authorisation and return instructions. There is no general consumer cooling-off right for these business purchases. Do not return goods without approval. A permitted return must follow the agreed conditions, including packaging, condition, transport method and allocation of costs. Return approval does not by itself confirm a refund or admission of liability.
After a binding agreement has been formed, cancellation or changes require written agreement, without prejudice to statutory termination rights. Any agreed cancellation charges must reflect reasonable, demonstrable costs and losses and will not exceed the value of the cancelled part of the order. Where a return results from our confirmed failure to supply conforming goods, the remedy and associated costs are handled under the agreement and applicable law.
10. Product information, resale and safety
The customer is responsible for checking that the agreed products, language information and intended resale market meet its business needs, and for complying with the legal duties applicable to its role as a distributor or other economic operator. Do not remove required warnings, traceability information or safety labels. Request product documentation before accepting the proforma if needed.
We remain responsible for the product-safety and compliance duties applicable to our own role. Nothing in these terms excludes mandatory safety obligations, duties to cooperate on recalls, or rights that cannot be excluded by law. No additional manufacturer warranty is promised unless specifically stated for the product.
11. Liability and events beyond reasonable control
To the extent permitted by law, our liability for a breach of the sales agreement is limited to direct loss up to the invoice value of the affected goods and the freight attributable to those goods. To that same extent, we exclude indirect or consequential loss, including loss of profit, business interruption and lost resale opportunities.
These exclusions and limits do not apply to fraud, wilful misconduct or deliberate recklessness of our management, death or personal injury caused by our fault, liability that cannot legally be limited, or mandatory product-safety and product-liability obligations. They do not remove the right to an appropriate refund or other mandatory remedy for non-performance.
Where an event beyond a party's reasonable control prevents performance despite reasonable precautions, the affected obligations may be suspended for the duration of that event as permitted by law. The affected party must notify the other promptly and take reasonable steps to limit the consequences. If performance remains impossible or the delay becomes unreasonable, the parties will discuss termination of the affected part and repayment of amounts for goods not supplied, subject to applicable law. This does not excuse payment for goods already supplied.
12. Governing law and disputes
The sales agreement is governed by Dutch law. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded. First contact hello@meltoys.com so we can try to resolve a dispute directly. Unless mandatory law provides otherwise, disputes are submitted to the competent court of the District Court of Zeeland-West-Brabant, The Netherlands. Mandatory jurisdiction and transport-law rules remain unaffected.
If a provision is invalid or unenforceable, the remaining provisions continue to apply to the extent legally possible. Any replacement provision must reflect the original purpose without removing mandatory rights.
